These Terms & Conditions (these “Terms”) govern access to and use of the website located at moonray.co and any content, functionality, and services made available through it (collectively, the “Site”). The Site is provided by Moonray(“Moonray,” “we,” “us,” or “our”).
By accessing, browsing, or using the Site, or by submitting information through any form on the Site, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree, do not use the Site.
1. The Site; No Services Offered Through the Site
The Site is made available for informational purposes and to facilitate contact with Moonray via a form. The Site does not provide paid services, subscriptions, user accounts, or platform access.
Any commercial relationship with Moonray exists only if and when it is set forth in a separate written agreement executed by Moonray and the relevant counterparty (an “Agreement”). In the event of any conflict between these Terms and an Agreement, the Agreement controls solely with respect to its subject matter.
2. Eligibility; Authority
You represent and warrant that:
you are at least the age of majority in your jurisdiction, and
if you are using the Site on behalf of an entity, you have the authority to bind that entity to these Terms.
3. Changes to the Site and These Terms
We may modify, suspend, or discontinue all or any part of the Site at any time, with or without notice.
We may update these Terms from time to time. Updated Terms are effective upon posting to the Site with a revised Effective Date. Your continued use of the Site after posting constitutes acceptance of the updated Terms.
4. Privacy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated by reference into these Terms. If there is any inconsistency between these Terms and the Privacy Policy with respect to personal data, the Privacy Policy controls.
5. Permitted Use; Prohibited Conduct
You may use the Site solely for lawful purposes and in accordance with these Terms.
You agree not to (and not to attempt to):
access or use the Site in any manner that violates applicable law or regulation;
interfere with or disrupt the Site or any servers or networks connected to the Site;
probe, scan, or test the vulnerability of the Site or any related system;
bypass, disable, or circumvent any security or access controls;
use any automated means (including bots, scrapers, crawlers) to access the Site or extract content without our prior written permission;
introduce any malware, viruses, trojans, worms, logic bombs, or other harmful material;
submit false, misleading, defamatory, unlawful, or infringing content through the Site’s form;
impersonate any person or entity or misrepresent your affiliation.
We reserve the right to monitor, investigate, and take any action we deem appropriate in response to any actual or suspected violation of these Terms, including suspending or blocking access to the Site.
6. Intellectual Property; Reservation of Rights
The Site, including all text, graphics, logos, design, layout, interfaces, and compilation (collectively, “Content”), is owned by or licensed to Moonray and is protected by intellectual property and other applicable laws.
Except as expressly permitted in these Terms, no rights are granted to you. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content without our prior written consent.
“Moonray” and any associated names, marks, logos, or identifiers are trademarks or trade dress of Moonray or its licensors. Unauthorized use is prohibited.
7. Submissions Through the Site; No Confidentiality
The Site may allow you to submit information via a contact form (“Submissions”). By submitting any information:
you represent that you have the right to submit it and that it does not violate law or third-party rights;
you agree not to submit sensitive personal data unless strictly necessary.
No confidentiality. Do not submit confidential, proprietary, or sensitive information via the Site. Any Submission is provided non-confidential and non-proprietary unless and until an executed Agreement expressly states otherwise. Moonray has no obligation to treat any Submission as confidential.
No obligation to respond. Submission of a form does not create any obligation for Moonray to respond, engage, or enter into an Agreement.
8. No Offer; No Reliance; No Advice
All information on the Site is provided for general informational purposes only.
No offer. Nothing on the Site constitutes or should be construed as an offer to sell, a solicitation of an offer to buy, or a commitment to enter into any transaction.
No reliance. You agree that you will not rely on the Site or any Content as the basis for any decision, and Moonray is not responsible for any reliance.
No advice. Nothing on the Site constitutes legal, financial, tax, investment, or professional advice of any kind. You are solely responsible for obtaining independent advice as you deem necessary.
9. Third-Party Links
The Site may include links to third-party websites or services. Moonray does not control and is not responsible for third-party content, policies, or practices. Accessing third-party links is at your own risk.
10. Disclaimers
To the maximum extent permitted by applicable law:
The Site and all Content are provided on an “AS IS” and “AS AVAILABLE” basis.
Moonray disclaims all warranties and conditions of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, and quiet enjoyment.
Moonray does not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that defects will be corrected.
Moonray does not warrant or guarantee any outcomes or results arising from the use of the Site or any interactions initiated through it.
11. Limitation of Liability
To the fullest extent permitted by applicable law:
No liability for site use. Moonray shall not be liable for any damages arising out of or relating to your access to, use of, or inability to use the Site or any Content, whether in contract, tort (including negligence), strict liability, or any other theory.
Exclusion of certain damages. In no event shall Moonray be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, even if advised of the possibility.
Liability cap. Moonray’s aggregate liability for any and all claims arising out of or relating to the Site, Content, these Terms, or any interaction initiated through the Site shall not exceed EUR 0.
If any portion of this limitation is held unenforceable, then Moonray’s liability shall be limited to the minimum amount permitted by applicable law.
Nothing in these Terms excludes or limits liability to the extent it cannot be excluded under applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Moonray and its affiliates, and each of their respective officers, directors, personnel, agents, and representatives, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
your use or misuse of the Site;
your breach of these Terms;
your Submissions;
your violation of law or infringement of any third-party rights.
13. International Use; Compliance With Laws
Moonray operates internationally. Access to the Site may not be legal for certain persons or in certain jurisdictions. You are responsible for compliance with all laws, rules, and regulations applicable to your use of the Site.
14. Force Majeure
Moonray shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, power failures, internet or hosting disruptions, governmental actions, and cyber incidents.
15. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms.
Sections that by their nature should survive termination shall survive, including Sections 6 (Intellectual Property), 7 (Submissions), 8 (No Offer; No Reliance), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 16–19.
16. Governing Law
These Terms and any dispute, claim, or controversy arising out of or relating to the Site, the Content, or these Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict-of-law principles.
17. Jurisdiction and Venue
To the fullest extent permitted by applicable law, you agree that the competent courts of Amsterdam, the Netherlandsshall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you irrevocably submit to such jurisdiction and venue.
18. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect. Any invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its intent as closely as possible.
19. No Waiver
Failure by Moonray to enforce any provision of these Terms is not a waiver of future enforcement of that or any other provision.
20. Assignment
You may not assign or transfer these Terms (by operation of law or otherwise) without Moonray’s prior written consent. Moonray may assign these Terms freely.
21. Entire Agreement
These Terms constitute the entire agreement between you and Moonray regarding your use of the Site and supersede all prior or contemporaneous understandings or agreements regarding the Site, except any executed Agreement entered into between you and Moonray.
